Terms of Service

1. Agreement to these terms

These Terms of Service ("Terms") are a legal agreement between you and SoundSpire, operated by Ashish Paul ("SoundSpire," "we," "us," "our"). They govern your access to and use of the SoundSpire mobile app, website, and related services (the "Services").

By creating an account or using the Services, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Services.

2. What SoundSpire is

SoundSpire is a global platform where artists build community hubs, share exclusive content with fans, and interact with their audience, and where fans discover, review, rate, and engage with music and with the artists they follow.

We may add, change, or remove features over time. Any features that require a separate agreement will be governed by additional terms presented to you before you use them.

3. Eligibility

You must be at least 13 years old to use the Services. If you are between 13 and 17, you may use the Services only with the consent and involvement of a parent or legal guardian, who agrees to these Terms on your behalf. By using the Services, you confirm you meet these requirements.

4. Your account

• You're responsible for the information you provide and for keeping it accurate.
• You're responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
• Notify us immediately at support@soundspire.online if you suspect unauthorized use.
• You may not share, sell, or transfer your account, or create an account using someone else's identity.

5. Acceptable use

You agree not to:

• post or share content that is illegal, infringing, hateful, harassing, threatening, defamatory, obscene, or that sexualizes minors;
• upload or distribute anyone's copyrighted work without permission;
• impersonate any person or entity, or misrepresent your affiliation;
• spam, advertise without authorization, or run schemes, scams, or artificial engagement;
• harass, bully, dox, or threaten other users;
• attempt to access accounts, data, or systems you're not authorized to access;
• introduce malware, scrape at scale, reverse-engineer, or interfere with the Services;
• use the Services to violate any applicable law.

We may remove content and suspend or terminate accounts that breach these rules.

6. Your content

"User Content" means anything you post or upload, including reviews, ratings, posts, comments, and community messages.

• You keep ownership of your User Content.
• You grant SoundSpire a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, display, and distribute your User Content within and for the purpose of operating and promoting the Services. This license lasts while your content is on the Services and ends a reasonable time after you delete it (subject to backups and content others have shared).
• You are solely responsible for your User Content and confirm you have the rights to post it.
• We may (but are not obligated to) moderate, remove, or restrict User Content that breaches these Terms or the law.

7. Reviews and ratings

Reviews, ratings, and opinions on SoundSpire are the independent views of the users who post them. They are not endorsements by SoundSpire, and SoundSpire does not guarantee their accuracy. Keep reviews honest and based on your genuine experience; do not post fake, incentivized, or manipulated reviews.

8. Artists, communities, and third-party content

The Services let artists run community hubs and share content. Content within a community is created by the artist or its members, not by SoundSpire, and we do not endorse or guarantee it. Your interactions with artists and other users are between you and them.

Artists are also bound by the Artist Terms & Conditions.

9. Intellectual property

The Services including the SoundSpire name, logo, software, design, and content we create are owned by SoundSpire or our licensors and are protected by intellectual-property laws. We grant you a limited, personal, non-transferable, revocable license to use the Services for their intended purpose. You may not copy, modify, distribute, or create derivative works from the Services except as allowed by law or with our written permission.

10. Copyright complaints

We respect intellectual-property rights. If you believe content on the Services infringes your copyright, send a notice to support@soundspire.online including: your contact details; identification of the work; the location of the allegedly infringing content; a statement of good-faith belief; and a statement that your notice is accurate. We may remove reported content and terminate repeat infringers.

11. Suspension and termination

• By you: you may stop using the Services and delete your account at any time (see the Privacy Policy for how).
• By us: we may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or if we discontinue the Services.
• Sections that by their nature should survive termination (ownership, disclaimers, liability limits, indemnity, governing law) will survive.

12. Disclaimers

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the fullest extent permitted by law. You use the Services at your own risk.

13. Limitation of liability

To the fullest extent permitted by law, SoundSpire, its team, and its partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, goodwill, or content, arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the 12 months before the claim, or INR 10,000 (approximately USD 100). Some jurisdictions don't allow certain limitations, so some of these may not apply to you.

14. Indemnity

You agree to indemnify and hold harmless SoundSpire and its team from claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your use of the Services, or your breach of these Terms or of anyone's rights.

15. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-laws rules. Subject to any mandatory rights you have under local law, the courts of Mumbai, Maharashtra, India will have jurisdiction over disputes.

16. Changes to these terms

We may update these Terms from time to time. We'll post the updated version with a new "Last updated" date and, for material changes, give additional notice where required. Continuing to use the Services after an update means you accept the revised Terms.
